1. Introduction

These Terms of Service ("Terms") govern your access to and use of the SecureVibes website, security checklist products, and related services (collectively, the "Services") provided by SecureVibes Inc. ("SecureVibes," "we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Services. These Terms constitute a legally binding agreement between you and SecureVibes.

2. Email Collection and Optional Account Registration

Basic access to our security checklists requires only your email address. For premium features or subscription services, you may need to create an account. When creating an account, you agree to provide accurate, current, and complete information and to keep this information updated.

If you create an account, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to disable any user account if, in our opinion, you have violated any provision of these Terms or if your account shows signs of suspicious activity.

3. Subscription and Payment Terms

Some aspects of the Services may require a paid subscription. By purchasing a subscription, you agree to pay all fees in accordance with the pricing and payment terms presented to you at the time of purchase.

Subscription fees are billed in advance and are non-refundable. Unless you cancel your subscription before the end of the current billing period, your subscription will automatically renew, and you authorize us to charge your payment method for the next billing period.

We may change our subscription fees at any time. If we change our fees, we will provide notice of the change on the website or by email, at our option, at least 14 days before the change takes effect. Your continued use of the Services after the fee change becomes effective constitutes your agreement to pay the updated fee.

4. Intellectual Property Rights

All security checklists, PDFs, website content, and related materials provided through our Services are owned by SecureVibes and are protected by copyright, trademark, and other intellectual property laws.

When you receive our security checklists and materials, we grant you a limited, non-exclusive, non-transferable license to:

• Use the checklists and materials for your own personal or internal business security purposes
• Print physical copies of the checklists for your personal or internal business use
• Store electronic copies of the materials for your reference

You may not:

• Redistribute, sell, rent, lease, or sublicense the materials to any third party
• Remove any copyright or proprietary notices from the materials
• Modify or create derivative works based on the materials
• Present the materials as your own work or imply that you are the creator

5. Acceptable Use Policy

You agree not to use the Services:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
• To impersonate or attempt to impersonate SecureVibes, a SecureVibes employee, another user, or any other person or entity.
• To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm SecureVibes or users of the Services.
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services.

6. PDF Distribution and Email Collection

Our Services provide security checklists and related materials in PDF format after you share your email address. When you provide your email address to receive our materials:

• We will use your email to deliver the requested materials and may send you occasional updates about our Services
• You can unsubscribe from our communications at any time
• We will handle your email address in accordance with our Privacy Policy

The PDFs and other materials we provide are protected by copyright and other intellectual property laws. You may use these materials for your personal or internal business purposes, but you may not redistribute, sell, or represent them as your own work.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

SecureVibes does not warrant that: (a) the Services will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Services are free of viruses or other harmful components; or (d) the results of using the Services will meet your requirements.

While our security checklists are based on industry standards and best practices, we do not guarantee that implementing our recommendations will prevent all security breaches or incidents. Security is a complex and evolving field, and no single solution can provide absolute protection.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SECUREVIBES, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT WILL SECUREVIBES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO SECUREVIBES FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN SECUREVIBES AND YOU.

9. Indemnification

You agree to defend, indemnify, and hold harmless SecureVibes, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.

10. Term and Termination

These Terms shall remain in full force and effect while you use the Services. If you have created an account, we may terminate or suspend your account and access to premium features immediately, without prior notice or liability, if you breach these Terms.

For users who have only provided an email to receive our PDF materials, you may unsubscribe from our communications at any time using the unsubscribe link provided in our emails. You may request deletion of your email information by contacting us directly.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

12. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any legal action or proceeding relating to your access to, or use of, the Services or these Terms shall be instituted in a state or federal court in San Francisco County, California. You and SecureVibes agree to submit to the jurisdiction of, and venue in, such courts.
